Ticket Analysis Data Processing Agreement

Effective Date: October 24th, 2025
Between: The prospect uploading data ("You" or "Data Provider") and Fixify, Inc. ("Fixify," "we," or "us")

Purpose

This Data Processing Agreement ("Agreement") governs your upload of help desk ticket data to Fixify for analysis and review purposes. By uploading data, you agree to the terms below.

1. Service Description

Fixify will analyze your uploaded help desk ticket data and provide you with a comprehensive review of our findings. This is a demonstration service to help you understand how Fixify works.

Important Limitations:

  • We make no guarantees, warranties, or representations about the accuracy, completeness, or usefulness of the analysis results
  • This is a demonstration service only and does not constitute professional advice
  • Results are provided "as-is" for informational purposes

2. Your Responsibilities

2.1 Data Upload Security

You acknowledge and agree to:

  • Upload only legitimate help desk ticket data in CSV format
  • Not knowingly upload files containing malware, viruses, or malicious code
  • Use reasonable technical measures to scan files before upload
  • Ensure you have the legal right to share the data with us

2.2 Data Content Acknowledgment

You understand and acknowledge that:

  • Fixify does not require any Personal Information (PII), Protected Health Information (PHI), or other confidential information to perform the Services
  • You are solely responsible for determining what data to upload
  • You agree not to upload any Personal Information (PII), Protected Health Information (PHI), or other confidential information in the data you provide

3. How We Handle Your Data

3.1 Data Protection Commitments

We commit to:

  • Not selling or monetizing your data for any purpose
  • Not sharing your data with third parties except as specified in Section 3.3
  • Implementing industry-standard security measures to protect your data
  • Processing your data only for the purpose of providing you the ticket analysis

3.2 Compliance Standards

Fixify maintains compliance with:

  • SOC 2 Type 2
  • GDPR (General Data Protection Regulation)
  • CCPA (California Consumer Privacy Act)
  • HIPAA (Health Insurance Portability and Accountability Act)

We implement administrative, physical, and technical safeguards designed to protect the confidentiality, integrity, and availability of your data.

3.3 Subprocessors

To provide the analysis service, we use the following categories of subprocessors:

  • Cloud infrastructure providers (for secure data storage and processing)
  • AI/ML service providers (for data analysis)
  • Analytics tools (for processing ticket data)

By agreeing to this Agreement, you authorize us to use these subprocessors to process your data.

3.4 Data Retention and Deletion

  • We will retain your uploaded data for a maximum of 30 days from the date of upload
  • After 30 days, your data will be securely deleted from our systems
  • You may request earlier deletion by contacting us at privacy@fixify.com
  • Upon deletion, we will remove all copies from our active systems and backups within our standard backup rotation period

4. Data Security

4.1 Security Measures

We implement:

  • Encryption of data in transit and at rest
  • Access controls limiting who can view your data
  • Regular security assessments and audits
  • Incident response procedures

4.2 Security Incidents

In the event of unauthorized access, disclosure, or loss of your data:

  • We will notify you within 72 hours of becoming aware of the incident
  • We will provide details about the incident and remediation steps
  • We will cooperate with you in any required notifications to affected individuals

5. Your Rights

You have the right to:

  • Request access to your uploaded data
  • Request correction of inaccurate data
  • Request deletion of your data at any time before the 30-day retention period expires
  • Object to processing of your data
  • Receive a copy of your data in a portable format

6. Legal Basis and Controller/Processor Relationship

  • You are the Data Controller (you determine what data to upload and why)
  • Fixify is the Data Processor (we process data on your behalf according to your instructions)
  • The legal basis for processing is your consent, provided by accepting this Agreement and uploading data

7. International Data Transfers

Your data may be processed in the United States or other jurisdictions where Fixify or its subprocessors operate. We ensure appropriate safeguards are in place for international transfers as required by applicable data protection laws.

8. Limitation of Liability

To the maximum extent permitted by law:

  • Fixify provides the analysis service "as-is" without warranties of any kind
  • We are not liable for any decisions you make based on the analysis results
  • Our total liability under this Agreement shall not exceed $100 USD
  • We are not liable for any indirect, incidental, or consequential damages

9. Indemnification

You agree to indemnify and hold Fixify harmless from any claims, damages, or expenses arising from:

  • Your upload of data you don't have the right to share
  • Your upload of malicious files or code
  • Your violation of any applicable laws or regulations
  • Any inaccuracies in the data you provide
  • Any Personal Information (PII), Protected Health Information (PHI), or other confidential information which you upload, either intentionally or inadvertently

10. Term and Termination

  • This Agreement begins when you upload data and continues for 30 days or until data deletion, whichever is earlier
  • You may terminate by requesting data deletion at any time
  • Upon termination, Sections 8 (Limitation of Liability) and 9 (Indemnification) survive

11. Governing Law

This Agreement is governed by the laws of Delaware, without regard to conflict of law principles.

13. Acceptance

By clicking "I Accept" and uploading data, you acknowledge that:

  1. ✓ You have read and understood this Agreement
  2. ✓ You have the legal right to share the uploaded data with Fixify
  3. ✓ You will use reasonable measures to ensure uploaded files do not contain malware
  4. ✓ You understand your data may contain PII/PHI and accept the associated risks
  5. ✓ You understand we will not sell your data and will delete it within 30 days
  6. ✓ You authorize our use of subprocessors listed at https://compliance.fixify.com/
  7. ✓ You agree to the limitations and disclaimers in this Agreement
